1. Agreement to Terms

By accessing or using the services provided by Ditlou IT Solutions (Pty) Ltd ("Company", "we", "us", or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Services

Ditlou IT Solutions provides IT consulting, web development, software development, cloud services, cybersecurity, and related technology services. The specific scope of services will be outlined in individual project proposals or service agreements.

3. Client Responsibilities

As a client, you agree to:

• Provide accurate and complete information required for service delivery
• Respond to requests for information and approvals in a timely manner
• Ensure you have the rights to any content or materials you provide
• Pay invoices according to agreed payment terms
• Comply with all applicable laws and regulations

4. Intellectual Property

Unless otherwise specified in writing:

• We retain ownership of all intellectual property we create until full payment is received
• Upon full payment, you receive a license to use the deliverables for your business purposes
• We may use non-confidential aspects of our work for portfolio and marketing purposes
• Third-party software and components remain subject to their respective licenses

5. Payment Terms

Payment terms are as specified in individual proposals or agreements. Standard terms include:

• 50% deposit required before project commencement
• Balance due upon project completion or as per agreed milestones
• Monthly retainer fees due on the 1st of each month
• Late payments may incur interest at 2% per month

6. Limitation of Liability

To the maximum extent permitted by law:

• Our liability is limited to the fees paid for the specific service in question
• We are not liable for indirect, incidental, or consequential damages
• We are not liable for issues arising from client-provided content or third-party services

7. Confidentiality

We agree to keep your confidential information secure and not disclose it to third parties without your consent, except as required by law.

8. Termination

Either party may terminate services with 30 days written notice. Upon termination, you are responsible for payment for all work completed up to the termination date.

9. Governing Law

These terms are governed by the laws of the Republic of South Africa. Any disputes shall be subject to the jurisdiction of the South African courts.
